1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and DATA CODE TECHNOLOGIES INC. ("Luntrix", "we", "us", or "our") regarding your use of our website, products, and services.

By accessing or using our services, you agree to be bound by these Terms. If you do not agree, do not access or use our services.

2. Products and Services

Luntrix offers two primary products:

2.1 Luntrix Core

AI Infrastructure Management platform for centralized control of clusters, models, RAG instances, and AI workloads across multi-site deployments.

2.2 Luntrix AI Data Platform

Offline AI data platform featuring Graph RAG, local AI models, agentic workflows, chat interfaces, and vision language capabilities—all running on your infrastructure.

3. Licensing Models

3.1 Annual License

  • Valid for one year from the date of issuance
  • Includes updates, patches, and new features during the license period
  • Includes priority support and maintenance SLA
  • Automatic renewal unless cancelled 30 days before expiration

3.2 Perpetual License

  • One-time license fee for indefinite use of the licensed version
  • Optional annual maintenance and support subscription
  • Major version upgrades may require additional licensing fees
  • Suited for long-term deployments in regulated environments

3.3 License Restrictions

  • Licenses are non-transferable without written consent
  • One license per production environment or specified infrastructure
  • Unlimited users within the licensed organization
  • Development and staging environments may be included as specified

4. On-Premises Deployment

Luntrix products are designed for on-premises or private cloud deployment. You are responsible for:

  • Providing adequate infrastructure (compute, storage, network)
  • Installing, configuring, and maintaining the software
  • Ensuring security of your deployment environment
  • Backing up your data and configurations
  • Compliance with applicable laws and regulations in your jurisdiction

5. Intellectual Property

Luntrix retains all intellectual property rights in the software, documentation, and related materials. Your license grants you the right to use the software as specified but does not transfer ownership.

You may not:

  • Reverse engineer, decompile, or disassemble the software
  • Remove or alter proprietary notices or labels
  • Rent, lease, or sublicense the software to third parties
  • Use the software to develop competing products

6. Data Ownership and Privacy

You retain full ownership of your data. Luntrix is an offline-first platform:

  • Your data remains within your infrastructure at all times
  • We do not have access to data processed by your Luntrix installation
  • You are solely responsible for data governance, security, and compliance
  • License validation and support may involve minimal metadata exchange

7. Support and Maintenance

7.1 Support Channels

Support is provided via email at support@luntrixtech.com and through our client portal. Response times depend on your license tier and issue severity.

7.2 Updates and Patches

We provide security patches and bug fixes for supported versions. Annual licenses include all updates. Perpetual licenses may require a maintenance subscription for updates beyond the initial version.

8. Warranties and Disclaimers

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the software will be error-free, uninterrupted, or meet your specific requirements. Use at your own risk.

9. Limitation of Liability

To the maximum extent permitted by law, Luntrix shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, or business interruption.

Our total liability for any claim shall not exceed the amount you paid for the license in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold Luntrix harmless from any claims, damages, or expenses arising from your use of the software, violation of these Terms, or infringement of third-party rights.

11. Termination

We may terminate or suspend your license immediately if you breach these Terms. Upon termination:

  • Your right to use the software ceases immediately
  • You must uninstall and delete all copies of the software
  • No refunds will be provided for prepaid license fees
  • Sections on intellectual property, liability, and indemnification survive termination

12. Governing Law

These Terms are governed by the laws of the Republic of the Philippines. Any disputes shall be resolved in the courts of Quezon City, Philippines.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be notified via email or through the client portal. Continued use after changes constitutes acceptance of the modified Terms.

14. Entire Agreement

These Terms, together with your license agreement and our Privacy Policy, constitute the entire agreement between you and Luntrix regarding the subject matter herein.
